understand and agree:

  1. That, information provided on the said veterinary practice is sensitive and confidential, and that its disclosure to others would be damaging to the seller and the said practice.

  2. That, I will not disclose any Information regarding this practice to any other person who has not also signed and dated this agreement, except to secure their advise and counsel, in which case I agree to obtain their consent to maintain such confidentiality. "Information" shall include the fact that the said practice is for sale, plus other data. The term Information does not include any information that is, or becomes, generally available to the public or is already in my possession.

  3. All information provided to review the practice for sale would be returned to PS Broker without retaining copies, summaries, analysis or extracts thereof in the event the review is terminated.

  4. Not to contact the practice owner's, their employee's, supplier's, competitor's, attorney's, accountant's, or client's except through PS Broker, who I hereby acknowledge to be the Seller's Agency providing contact.

  5. That, prior to finalizing an agreement to purchase a practice, it is my responsibility to make an independent verification of all Information.

  6. That, should I enter into an agreement to purchase the said veterinary practice, PS Broker offers for sale, I grant to PS Broker the right to obtain, through standard reporting agencies, financial and credit information concerning myself or the companies or other parties I represent and understand that this information will be held confidential by PS Broker and will only be used for the purpose of PS Broker extending credit.
